We will provide our services to you, which are subject to the conditions stated below in this document. Every time you visit this website, use its services or make a purchase, you accept the following conditions. This is why we urge you to read them carefully.

Communications

The entire communication with us is electronic. Every time you send us an email,  digital message or visit our website, you are going to be communicating with us. You hereby consent to receive communications from us. If you subscribe to the news on our website, you are going to receive regular emails from us. We will continue to communicate with you by posting news and notices on our website and by sending you emails. You also agree that all notices, disclosures, agreements and other communications we provide to you electronically meet the legal requirements that such communications be in writing.

Applicable Law

By visiting this website, you agree that the laws of the Ireland, without regard to principles of conflict laws, will govern these terms of service, or any dispute of any sort that might come between “Portuguese With Carla” and you, or its business partners and associates.

Payment Terms

Access to all content provided through the “Journey” program is subject to an active membership validated by a recurring payment, the frequency of which was agreed upon at the time the said membership is initiated. We will automatically process your membership fee at the frequency agreed.

Prices

We reserve the right to change the price of a membership. We will give you a full months’ notice of any upcoming price change and will make it very clear when the price change will take effect and how much your membership will cost after the said change. During this period you will have your usual right to terminate your membership in accordance with the membership terms, conditions and rules. If you do not terminate the membership by the date given to you in the notice, the price of your membership will be changed in accordance with the notice.

Trial Periods

During the trial period, a member will have full access to the program. No charge will be made until the end of such period, at which point, payments will commence, according to the type of membership agreed upon at the beginning of the trial period.

If the user decides to cancel the membership during the trial period, he/she will continue to have access to the program until the date & time the first payment was due.

We reserve the right to terminate trials at any point, in agreement with our “termination of membership” policy outlined below.

Cancellations

A member is free to cancel his/her membership at any point without incurring additional fees. This is done within the settings pane (cog icon ⚙️ on the bottom left) and then “Subscriptions”. He/she will continue to have access to the “Journey” program and its’ content until the next renewal date after cancellation.

Refunds

We do not offer refunds on any payment or fee.

Termination of membership

Failure to make the regular payments in accordance with the membership level and its’ terms, will automatically put such membership on hold and you will no longer have access to the “Journey” program until such payments resume.

Membership is not an automatic right, it is a benefit for community members who follow our reasonable rules and treat other community members well. We hope that you will be with us for a long time. But we may, using reasonable discretion, decide whether or not your use of Portuguese With Carla’s Journey complies with these terms. We  can suspend or terminate your account at any time for any reason, including, but not limited to, the ones mentioned below.

1. if you breach these terms;
2. if you act in a way that does not align with the values we set;
3. if you act in a way that could cause us or our members harm or offence

If we do decide to permanently terminate your Portuguese With Carla membership you must not apply for a new account as unfortunately you will no longer be welcome in our community.

Membership changes

Portuguese With Carla is free to unilaterally change the membership terms and conditions without further notice to the individual member. Such changes will, unless otherwise stated, take immediate effect. Portuguese With Carla will publish changes to the terms and conditions on its website. However, members are responsible for keeping themselves updated in relation to any changes to the terms and conditions.

Disputes

Any dispute related in any way to your visit to this website or to products you purchase from us shall be arbitrated by European Union’s law and you consent to exclusive jurisdiction and venue of such courts.

Comments, Reviews, and Emails

Visitors may post/share content as long as it is not obscene, cursing, illegal, defamatory, threatening, infringing of intellectual property rights, invasive of privacy or injurious in any other way to third parties. Content has to be free of software viruses, political campaign, and commercial solicitation.

We reserve all rights (but not the obligation) to remove and/or edit all content. When you post your content, you grant “Portuguese With Carla” non-exclusive, royalty-free and irrevocable right to use, reproduce, publish, modify such content throughout the world in any media.

License and Site Access

We grant you a limited license to access and make personal use of this website for as long as you keep up with the recurring payment agreed upon at the time of signing up. The account created upon signing up can only be used by the individual whose details were initially submitted. An account cannot, under any circumstances, be transferred or used by another individual.

You are not allowed to download, share or modify any of its’ content. This may be done only with written consent from us.

Users

Users must be over 18 years of age.

If you are an owner of an account on this website, you are solely responsible for maintaining the confidentiality of your private user details (username and password). You are responsible for all activities that occur under your account or password.

We reserve all rights to terminate accounts, edit or remove content and cancel orders in their sole discretion.

Liability Disclaimer

We make no express warranties or representations as to the quality and/or accuracy of the Content, the Websites or the Services, and we expressly disclaim any implied warranties, conditions and/or representations, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the full extent permissible under applicable law. For example, we shall not be liable to you for any of the following types of damages, whether in contract, tort (including negligence and strict liability) or otherwise (whether such loss or damage was foreseeable, known or othenvise): (i) loss of revenue; (ii) loss of actual or anticipated profits; (iii) loss of the use of money; (iv) loss of anticipated savings; or (v) loss or corruption of, or damage to, data, systems or programs. Because some states/jurisdictions do not allow exclusions as broad as those stated above or limitations of liability for consequential or incidental damages, the above limitations may, in whole or in part, not apply to you. If you are dissatisfied with any portion of the Websites or the Services, or with any clause of these terms, as your sole and exclusive remedy you may discontinue using the Websites and the Services. Although we will not be liable for your losses caused by any unauthorized use of your account, you may be liable to others as well as to us if your account is used in violation of the terms and conditions of this Agreement.

You agree to defend, indemnify and hold harmless Portuguese With Carla, its affiliates, officers, directors, employees and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Websites and Services; (ii) your violation of any term of this Agreement; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Provided Content caused damage to a third party. This defense and indemnification obligation will survive this Agreement and your use of the Websites and Services.

Portuguese With Carla may, from time to time, provide opportunities to Users of the Websites to purchase services from third parties. Websites of those third parties are subject to terms and conditions different from those applicable to the Websites and it is your responsibility to ensure that you have read and understood them. Portuguese With Carla makes no warranty concerning, is not responsible for and does not endorse any third party provided goods or services, and you agree that any recourse for dissatisfaction or problems with those goods or services will be sought from the third party provider and not from Portuguese With Carla.
